1Acceptance of Terms
Welcome to TQUELL. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and TQUELL (“Company,” “we,” “us,” or “our”) governing your access to and use of the TQUELL platform, website, mobile applications, and all related services (collectively, the “Service”).
By accessing or using our Service, creating an account, or clicking “I Agree” to these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Service.
You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2Description of Service
TQUELL is an AI-powered trading intelligence platform that provides:
- Trading Signals: AI-generated signals with entry points, target prices, stop-loss levels, and confidence scores based on technical analysis, market data, options flow, and insider trading patterns.
- Market Screener: Tools to filter and analyze stocks based on various criteria including price, volume, market cap, sector, and technical indicators.
- Watchlist: Personal watchlist functionality with real-time price tracking and custom alerts.
- Portfolio Tracking: Tools to monitor and analyze your trading performance.
- Position Guidance: Automated notifications and recommendations for managing active positions.
- Market Intelligence: Access to market data, news, analyst ratings, and sentiment analysis.
The Service aggregates data from multiple third-party providers and applies proprietary algorithms to generate insights. We do not guarantee the accuracy, completeness, or timeliness of any information provided through the Service.
3Investment Disclaimer

3.3 Risk of Loss. Trading and investing in securities involves substantial risk of loss, including the potential loss of your entire investment. 3.4 No Guarantees. We make no guarantees or representations regarding the accuracy, reliability, or profitability of any trading signal or information provided through our Service. Confidence scores and target prices are estimates based on historical data and algorithms and should not be interpreted as guarantees of performance.
3.5 Independent Decision-Making. You are solely responsible for your investment decisions. Before making any investment, you should consult with a qualified financial advisor who can assess your individual circumstances, risk tolerance, and investment objectives.
3.6 Market Risks. Securities markets are subject to various risks including but not limited to market volatility, economic conditions, regulatory changes, and geopolitical events. These factors may cause significant losses regardless of any analysis or signals provided by our Service.
4Account Registration
4.1 Account Creation. To access certain features of our Service, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly to keep it accurate and complete.
4.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.
4.3 One Account Per Person. Each user may only maintain one account. Creating multiple accounts may result in termination of all accounts without notice or refund.
4.4 Account Verification. We may require verification of your identity or other information to activate or maintain your account. Failure to provide requested verification may result in suspension or termination of your account.
5Subscriptions & Billing
5.1 Subscription Plans. TQUELL offers various subscription tiers (Free, Pro, Elite, and Institutional) with different features and limitations. Details of each plan are available on our pricing page and may be updated from time to time.
5.2 Payment. Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your designated payment method for the subscription fee and any applicable taxes.
5.3 Automatic Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
5.4 Refund Policy. Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion in exceptional circumstances. Annual subscriptions may be eligible for a prorated refund within 14 days of purchase.
5.5 Price Changes. We reserve the right to change subscription prices at any time. Price changes will be communicated to existing subscribers at least 30 days before taking effect for their next renewal.
5.6 Payment Processing. Payments are processed by third-party payment processors (e.g., Stripe). Your use of payment services is subject to their respective terms and privacy policies.
6Intellectual Property
6.1 Our Property. The Service, including all content, features, functionality, software, algorithms, designs, trademarks, and intellectual property, is owned by TQUELL or its licensors and is protected by copyright, trademark, and other intellectual property laws.
6.2 Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.
6.3 Restrictions. You may not: (a) copy, modify, or distribute any content from the Service; (b) reverse engineer, decompile, or disassemble any software; (c) remove any proprietary notices; (d) use our trademarks without permission; or (e) create derivative works based on the Service.
6.4 Feedback. Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or attribution to you.
7User Conduct
You agree to use the Service in compliance with all applicable laws and regulations and in accordance with these Terms. You are solely responsible for:
- Your own investment decisions and their consequences
- Compliance with applicable securities laws in your jurisdiction
- Maintaining accurate and updated account information
- Protecting the confidentiality of your account credentials
- All activity that occurs under your account
8Prohibited Activities
You agree not to:
- Share, resell, or redistribute any content or signals from the Service
- Use the Service to provide investment advice to others
- Use automated systems, bots, or scripts to access the Service
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Use the Service for any illegal or unauthorized purpose
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest any information from the Service
- Circumvent any access controls or usage limits
- Engage in market manipulation or securities fraud
Violation of these prohibitions may result in immediate termination of your account without notice or refund.
9Limitation of Liability

9.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 No Guarantee. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.
9.3 Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TQUELL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
9.4 Investment Losses. TQUELL SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES, TRADING LOSSES, OR OTHER FINANCIAL LOSSES YOU MAY INCUR AS A RESULT OF USING OUR SERVICE OR ACTING ON ANY INFORMATION PROVIDED THROUGH THE SERVICE.
9.5 Maximum Liability. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
10Indemnification
You agree to indemnify, defend, and hold harmless TQUELL and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your investment decisions or trading activities
- Any content you submit or transmit through the Service
- Your infringement of any third-party rights
11Termination
11.1 By You. You may terminate your account at any time by contacting us or through your account settings. Termination does not entitle you to a refund of any prepaid fees.
11.2 By Us. We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or non-payment.
11.3 Effect of Termination. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
12Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes.
13Dispute Resolution
13.1 Informal Resolution. Before filing any formal dispute, you agree to first contact us at legal@tquell.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
13.2 Binding Arbitration. If informal resolution is unsuccessful, any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
13.3 Class Action Waiver. YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.
13.4 Exceptions. Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
14Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email at least 30 days before they become effective. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
We encourage you to review these Terms periodically. The “Last Updated” date at the top indicates when these Terms were last revised.
